Terms of Use

1. Use of the Service; Eligibility

• You must be at least 18 years old (or the minimum age in your jurisdiction) to use the Service.
  
  
• You agree to use the Service only in compliance with all applicable laws, regulations, and these Terms.
  
  
• We may deny or restrict your access (temporarily or permanently) at any time and for any reason, including for violation of these Terms.

2. Accounts, Credentials & Security

• Some features require you to register and create an account. You agree to provide accurate, current, and complete information.
  
  
• You’re responsible for maintaining the confidentiality of your account credentials (username, password).
  
  
• You must notify us promptly of any unauthorized use of your account or any other security breach.

3. Marketplace Listings, Buyer & Seller Conduct

• Listings Responsibility
  You (as a seller, dealer, or advertiser) are solely responsible for all content in your listings (vehicle descriptions, photos, pricing, warranties, disclosures, etc.). You represent and warrant that your listing information is accurate, truthful, and compliant with applicable laws.
  
  
• Prohibited Content & Behavior
  You agree not to post or transmit content that is fraudulent, misleading, defamatory, obscene, or infringes others’ rights. You must not engage in harassing, abusive, or deceptive practices.
  
  
• Transactions & Offers
  Carjazz.ai acts as a platform. All transactions, contracts, or agreements for buying, selling, financing, or delivering vehicles take place between you and the other party (e.g. a dealer or buyer). Carjazz.ai is not a party to those contracts unless explicitly stated.
  
  
• Fees & Payments
  If we charge fees for listing, advertising, or premium services, you agree to pay them as described at the time of purchase. Fees are generally non-refundable (unless otherwise stated).
  
  
• Compliance & Legal Obligations
  You will comply with advertising, disclosure, consumer protection, and automotive regulation laws (e.g., FTC rules, state auto dealer laws). For example, you must clearly disclose any fees, terms, warranties, or “as-is” conditions in advertising.

4. Intellectual Property & Licenses

• Ownership
  All content on the Service (site design, logos, text, graphics, software, etc.) is owned or licensed by Carjazz.ai or its partners. Except for content you submit, you gain no ownership rights by using the Service.
  
  
• User-Submitted Content License
  By submitting content (e.g. listing photos, descriptions, comments), you grant Carjazz.ai and its affiliates a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, adapt, modify, distribute, publish, and display such content in connection with the Service and our business (including marketing).
  
  
• Restrictions
  You may not copy, republish, create derivative works from, reverse engineer, or otherwise exploit the Service’s features or content except as expressly permitted.

5. Generative AI / AI-Enhanced Content Use

• AI-Modified Vehicle Graphics / Imagery
  In certain cases, images or graphics of vehicles (dealer listings, location visuals, branding elements, etc.) may be modified or augmented with generative AI (Gen-AI) techniques to enhance visual appeal, present cleaner styling, or illustrate alternative views (e.g. color changes, background editing). Such modifications are intended for marketing and engagement purposes.
  
  
• AI-Enhanced Content & Messaging
  We may use Gen-AI or AI-assisted methods to generate or improve textual content (e.g. descriptions, headlines, summaries, ad copy) across the Site. We aim for clarity, utility, and relevance, but AI-generated content may sometimes be imperfect.
  
  
• Disclaimer & Quality Control
  While we strive to ensure accuracy and integrity, you acknowledge that AI output may contain errors or misrepresentations. You agree to independently verify any information (vehicle specs, pricing, availability, descriptions) before relying on it. Carjazz.ai bears no liability for inaccuracies arising from the use of AI-enhanced content, to the fullest extent permitted by law.
  
  
• User Feedback & Corrections
  If you believe AI-modified content or listings are misleading or erroneous, you may report or request corrections via our contact or support channels. We may remove, adjust, or disable content in response.

6. Disclaimers & Limitation of Liability

• No Warranty
  The Service is provided “as is” and “as available,” without warranties of any kind (express, implied, statutory). To the extent permitted by law, Carjazz.ai disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
  
  
• Limitation of Liability
  To the maximum extent permitted by law, Carjazz.ai and its affiliates, officers, employees, agents, licensors, and partners are not liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits, data, business interruption) arising out of or related to your use of or inability to use the Service, even if we knew such damages might arise.
  
  
• Cap on Direct Damages
  In jurisdictions that allow it, Carjazz.ai’s aggregate liability for direct damages under these Terms shall not exceed the total amount of fees you have paid to us in the prior 12 months (if any). If you have paid no fees, then our liability is limited to one hundred dollars ($100) or the minimum allowed by applicable law, whichever is greater.
  
  
• Indemnification
  You agree to indemnify and hold harmless Carjazz.ai, its parent (Things Up, LLC), affiliates, officers, agents, employees, and licensors from any claims, losses, damages, liabilities, costs or expenses (including attorney’s fees) arising out of or relating to (a) your use of the Service, (b) any content you post or transmit, (c) your breach of these Terms, or (d) your violation of any law or third-party rights.

7. Termination & Suspension

• We may suspend or terminate your account or access at any time, with or without cause, at our discretion.
  
  
• On termination, you must cease all use of the Service. We may also delete or de-activate content or accounts.
  
  
• Sections that survive termination include: Intellectual Property, AI disclaimers, Limitation of Liability, Indemnification, Miscellaneous.

8. Dispute Resolution & Governing Law

• Governing Law
  These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
  
  
• Arbitration / Class Waiver (optional, if you want to include)
  You and Carjazz.ai agree that disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except for small claims matters. You also waive any right to participate in a class action or class arbitration.

• Injunctive Relief
  Notwithstanding arbitration, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or stop unauthorized use or infringement.

• Entire Agreement
  These Terms, plus any policies or documents incorporated by reference (like the Privacy Notice), constitute the entire agreement between you and Carjazz.ai regarding the Service.
  
  
• No Waiver
  If we do not enforce a right or provision here, it’s not a waiver of that right.
  
  
• Severability
  If any portion of these Terms is held invalid or unenforceable, the remaining portions remain in effect.
  
  
• Assignment
  You may not assign these Terms without our written consent. Carjazz.ai may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets.
  
  
• Notices
  We may provide notices to you via email or posting to the Service. Your continued use constitutes receipt.
